Online Shop Terms of Use
The following terms of use (hereinafter referred to as "the Terms") specify the terms and conditions for the use of the online shop (hereinafter referred to as "the Service") provided on this website by SMARTHOLDER Co., Ltd. (hereinafter referred to as "the Company"). Registered customers (hereinafter referred to as “Users”) are requested to use the Service in accordance with these Terms.

Article 3 (Management of User ID and Password)

Users shall be responsible for the management of their user ID and password at their own discretion.

In no situation shall Users transfer, lend their user ID and password to third parties or share them with third parties. When the combination of a user ID and password is used to log in, and it matches the registered information, the Company shall consider such usage as being carried out by the user who is registered with that user ID.

Except in cases of intentional or gross negligence by the Company, the Company shall not be liable for any damages caused by the use of the user ID and password by a third party.
Article 4 (Intellectual Property Rights)
The copyright and other intellectual property rights of the product photos and other content (hereinafter referred to as "Content") provided by the Service belong to legitimate right holders such as our company and content providers. Users are not permitted to reproduce, reprint,
modify, or engage in any other form of secondary use of these materials without authorization.
Article 5 (Prohibited Acts)
Users are prohibited from engaging in the following acts when using the Service:

Article 6 (Suspension of Service Provision, etc.)

The credit card provided by the user as a payment method is suspended.

In case of no response to communication from the Company for a certain period.

In case of no use for a certain period of time after the last use of the Service.

In other cases where the Company deems the use of the Service inappropriate.

The Company shall not be liable for any damages suffered by Users as a result of the actions taken by the Company based on this article.
Article 8 (Disclaimer and Limitation of Liability)

The Company does not guarantee the absence of substantial or legal defects in the Service
(including but not limited to defects related to safety, reliability, accuracy, completeness, validity, suitability for a specific purpose, security, errors, bugs, rights infringements, and others).

The Company shall not be liable for any damages suffered by Users as a result of the use of the Service. However, in cases where the contract between the Company and the Users regarding the Service (including the Terms) constitutes a consumer contract under the Consumer Contract Act, this disclaimer provision shall not apply. In spite of this case, even if the Company is in default due to its negligence (excluding gross negligence), the Company shall not be liable for any damages suffered by the Users as a result of the default or tort of the Company, unless there are special circumstances that are attributable to the Company, or the User foresees or could foresee the damage.

The Company shall not be liable for any disputes, contacts, or conflicts between Users and other Users or third parties regarding the Service.
Article 9 (Changes to the Service Content, etc.)
The Company may change the content of the Service or suspend the provision of the Service without notifying Users. The Company shall not be liable for any damages suffered by Users as a result of such actions.
Article 10 (Changes to the Terms of Use)
The Company may change these Terms at any time without notice to Users, as it deems necessary. Users who start using the Service after the change of these Terms shall be deemed to have agreed to the amended terms.
Article 11 (Handling of Personal Information)
The Company shall handle personal information acquired through the use of the Service in accordance with the "Privacy Policy" of the Company.
Article 12 (Notice or Communication)
Notifications or communications between Users and the Company shall be made by the method specified by the Company. The Company shall send notifications or communications to the currently registered contact information and shall be deemed to have reached the User at the time of transmission.
Article 13 (Prohibition of Assignment of Rights and Obligations)
Users shall not assign or pledge to third parties the rights or obligations under the use agreement or the Terms without the prior written consent of the Company.
Article 14 (Governing Law and Jurisdiction)

In the interpretation of the Terms, Japanese law shall be the governing law. Furthermore, in relation to this Service, the application of the United Nations Convention on Contracts for the International Sale of Goods shall be excluded.

In the event of disputes related to this Service, the exclusive agreed-upon jurisdictional court shall be the court having jurisdiction over the location of our main office.
